Introduction
Cognition Labs (“Company, “We”) is a wholly owned division of Sepiida, Inc., a Delaware C-Corporation formed in June 2018 and based in San Francisco, California, USA. Our website address is: https://www.cognitionlabs.com.
Cognition Labs offers the CogniLens™ application (“CogniLens”) to transform the day-to-day reading experience for the millions of people with differences in visual, auditory or other perceptual domains.
These Terms of Use (“Terms”) govern access and use of the CogniLens website, online platform, mobile applications, and related services (collectively “Services”). By accessing or using our Services, you agree to these Terms. If you don’t agree, do not use our Services.
By agreeing to these Terms, you represent that you are of legal age sufficient to agree in accordance with applicable law; have read, understood, and agree to be bound by these Terms; have all rights, permissions, and consents necessary to provide personal information about your students or children who use the Services you purchase from us; and if you access the Services on behalf of an education institution or other organization, you represent that you have the necessary authority to bind that organization to the Terms.
CogniLens™
The CogniLens app is intended to personalize and enhance the reading experience for individual users of the Services. The Services are provided “as-is” and “as-available.” We don’t guarantee accuracy or completeness of text that is generated by artificial intelligence (“AI”) via LLM or OCR, or via third-party publishers.
You are responsible for reviewing and validating all outputs before use. Company isn’t liable for how textual content is used or any results from relying solely on AI outputs. We may modify or restrict access to the Services at any time.
Company may modify, limit, or discontinue any aspect of the Services at any time, without notice. We do not make warranties, express or implied, regarding performance or availability. Use of Services is at your own risk.
Intellectual Property
Unless stated otherwise, all content, code, graphics, functionality, and materials viewed through Services and all trademarks and logos (“Marks”) are owned and/or licensed by Company and are protected by copyright and other intellectual property rights. You have no rights to transfer, reproduce, or prepare any derivative works with respect to the Services or to disclose confidential information pertaining to the Services. These Terms do not convey any right of ownership in or related to the Services or other intellectual property owned by Company. Company reserves all rights not expressly granted in these Terms. You agree to not engage in the use, copying, or distribution of any of the Services or Marks other than expressly permitted in these Terms. They may not be used commercially without written consent.
You may be able to upload or make viewable content including text, images, videos, or other materials (“User Content”), which may be hosted, published, and shared within the Services. Except where prohibited by law, by uploading or otherwise submitting any User Content to Company and/or the Services, you automatically grant (or warrant that the owner of such rights has expressly granted) to Company a perpetual, royalty-free, fully paid-up, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, and distribute the User Content or incorporate such User Content into any form, medium, or technology (now known or hereafter developed or devised) throughout the universe. In addition, you warrant that all so-called “moral rights” and other rights recognized throughout the world (including without limitation, the European Economic Community) in those materials have been waived in favor of Company and our successors and assigns.
You are solely responsible for, and assume all liability regarding your own User Content, the consequences of posting or publishing, and your interaction on the Services. You understand that any content generated by AI may be subject to copyright or other intellectual property protection. You will not use the generated content in any manner that infringes or violates the intellectual property rights of any third party.
The AI Services provided by Company may generate or produce content, including but not limited to text, images, or other media. Company reserves the right to impose restrictions or guidelines on the use of generated content, and may, at its discretion, remove or refuse to generate certain types of content. Use of the Services does not grant you any ownership rights or the right to sublicense, reproduce, distribute, modify, or reverse engineer the AI technology.
User Obligations & Conduct
By using our Services, you agree to:
• Be of legal age and provide accurate information
• Keep your account secure and not share access
• Use Services lawfully and responsibly
• Avoid posting or transmitting harmful, illegal, or infringing content
Use of the Services is also governed by our Privacy Policy, which is available on our website and outlines how we collect, store, and use your information.
• Usage Details. When you access and use the Services, we may automatically collect certain details of your access to and use of the Services, including traffic data, location data, logs and other communication data and the resources that you access and use on or through the Services.
• Device Information. We may collect information about your computer, mobile device and internet connection, including the computer or mobile device's unique device identifier, IP address, operating system, browser type, mobile network information and the device's telephone number.
Oversight
Company may monitor platform usage for compliance. We may restrict or revoke access at our sole discretion in cases of Terms violations, unauthorized use, or suspicious activity. We act to protect both our systems and client data.
Subscriptions, Payments & Billing
Subscription fees are in USD and billed in advance—monthly or annually. Valid payment info is required. Subscriptions renew automatically unless canceled.If a payment fails, access may be suspended. Company may adjust pricing with advance notice. Continued use implies agreement to new pricing.
Refunds & Cancellations
Refunds are not guaranteed. Requests are considered case-by-case. If granted:
• Full refunds may be issued for cancellations within 7 days (monthly) or 30 days (annual) of sign-up or renewal.
• Cancellations after that time do not qualify for a refund. Access ends if your subscription lapses.
Limitations
Company provides the Services “as-is.” We are not liable for:
• Downtime or access issues
• Errors in generated content
• Third-party links or content
• Losses or damages from Service use
Governing Law
These Terms are governed by California law. Any dispute arising under these Terms shall first be subject to good faith negotiation. If unresolved, disputes will be resolved by binding arbitration in San Francisco, California under the rules of the American Arbitration Association.
Limitation of Liability
You use the Services at your own risk. Company isn’t responsible for losses including (but not limited to) profits, data, or legal claims. You agree to indemnify Company from any claims resulting from your misuse of the Services or breach of these Terms.
Electronic Communications
When you use the Services or send email to us, you are communicating with us electronically. You agree to receive communications from us electronically. You may opt out of marketing messages at any time.
We will communicate with you by email or by posting notices through the Services. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing and/or signed by the parties.
We may make customer service features available to you, as a courtesy only. We are not required to provide customer service to you and our decision to do so shall not create an obligation to provide additional customer service to you.We will not be liable for failure or delay in our performance of our obligations under these Terms due to any cause beyond our reasonable control (a “Force Majeure Event”), including, but not limited to: (a) acts of God; or (b) failure or disruptions in third-party-controlled or operated communications facilities; or (c) worms, viruses and other disabling or disruptive software, communications or files.
Changes to Terms
We may update these Terms from time to time. Continued use of the Services means you accept any changes. The latest version will always be available on our website.
